Share Subscription Agreement Sample

The terms (this “Agreement”) under which the Company is willing to sell the Shares to the Subscriber and the Company and the Subscriber`s agreements regarding such Shares are as follows: in the context of the planned investment by Hong Kong Outjoy Education Technology Co., Ltd., a Hong Kong registered limited liability company, and/or its designated investment companies (jointly referred to as “OET”), in China Rapid Finance Limited, a limited liability company (the Cayman Islands Exempt “Company”) (such transaction, the “Transaction”), by and between oeT and proposes to acquire Class A common shares (China Rapid Finance Limited Company) (the “Company”) pursuant to the terms of the Cooperation Agreement dated on the date of such Agreement (“Effective Date”). Par value of $0.0001 per share (the “Common Shares”) of the Company at a price per share equal to the purchase price (defined below), subject to the conditions set forth therein. In this context, OET and the company agree on the following: a subscription contract contains the details of the purchase price of the sale of the shares of your company.
